Terms of Service

1. About these terms

These terms govern your use of Twelve34 (the "service"), operated by [legal name of the business] of [address] ("we", "us"). By ticking the box when you first sign in, you agree to them. Please also read our Privacy Notice, which explains how we handle your data.

If you're using Twelve34 as a consumer, nothing in these terms affects your legal rights under consumer law, including the Consumer Rights Act 2015.

2. What Twelve34 does

Twelve34 helps UK residents who trade shares and options work out their Capital Gains Tax position. It imports data you provide, applies HMRC's share matching rules, estimates the tax due, and shows the tax effect of trades you're considering.

Twelve34 is in early access (beta). Features may change, and we may add, alter or remove parts of the service.

3. Not advice

Twelve34 provides calculations, not advice. Nothing in the service is tax, legal, financial or investment advice, or a recommendation to buy, sell or hold any investment. We are not authorised or regulated by the Financial Conduct Authority.

Figures shown, including "what if" results, are estimates based on the data you've given us and our interpretation of HMRC rules. They show possible tax effects; they don't tell you what to do. For advice on your circumstances, speak to a qualified tax adviser or accountant.

4. Your responsibilities

Data: you're responsible for the accuracy and completeness of the data you import or enter. The results can only be as good as that data. For example, if a broker export leaves out a transaction, the figures will be wrong.
Tax affairs: you remain responsible for your own tax affairs, including checking any figure before using it, filing accurate returns, and meeting HMRC deadlines.
Account security: you sign in with codes sent to your email, so keep your email account secure. Tell us promptly if you think someone else has accessed your Twelve34 account.
Eligibility: you must be at least 18. The service is designed for individuals who are UK tax resident.

5. What the service doesn't cover

The calculations currently don't handle every situation, including:

corporate actions such as share splits, mergers and spin-offs;
shares held in ISAs, SIPPs or other tax-exempt accounts (don't import these);
non-UK residence or split-year treatment;
reliefs such as EIS, SEIS or Business Asset Disposal Relief;
a full income tax calculation.

Where tax rates or allowances for a future year haven't been confirmed, estimates use the current rules. Where the service warns you about data it can't process, please check those items yourself.

6. Fees

[During the beta, Twelve34 is free / Twelve34 costs £X per month or £Y per year, billed in advance through Stripe.] We'll tell you about any change to fees at least 30 days before it applies, and you can cancel before it takes effect.

[Paid plans – cancellation rights: if you're a consumer, you can cancel within 14 days of subscribing. If you ask us to start the service straight away, we may deduct an amount for the service already provided. Solicitor to confirm wording under the Consumer Contracts Regulations 2013.]

7. Your data

You own the data you upload. You give us permission to store and process it only as needed to provide and improve the service, as described in our Privacy Notice.

8. Acceptable use

You agree not to:

use the service unlawfully or for anyone else's tax affairs without their permission;
try to access other users' accounts or data;
upload malicious files or interfere with how the service runs;
scrape, copy or reverse-engineer the service.

9. Our intellectual property

The service, including its software, design and content, belongs to us or our licensors. These terms give you a personal, non-transferable right to use it; they don't transfer any ownership to you.

10. Availability

We aim to keep Twelve34 available and accurate, but can't promise it will always be uninterrupted or error-free. We may suspend it for maintenance, or when needed for security.

11. Our liability to you

Nothing in these terms limits or excludes our liability for:

death or personal injury caused by our negligence;
fraud or fraudulent misrepresentation;
anything else that can't be limited or excluded by law, including your statutory rights as a consumer.

Subject to that:

we're not responsible for tax, interest or penalties you have to pay, or for any trading or investment decision you make, because the service provides calculations, not advice, and you're responsible for checking figures before relying on them;
we're not responsible for losses caused by inaccurate or incomplete data you provide, or by broker exports that are incomplete;
we're not liable for business losses, such as loss of profit or business opportunity;
our total liability to you in any 12-month period is limited to the greater of £100 and the fees you paid us in that period.

12. Ending your account

You can close your account at any time by emailing [support@twelve34.uk]. We'll delete your data as described in our Privacy Notice, so download or copy anything you need first.

We may suspend or close your account if you seriously or repeatedly break these terms. We may also stop providing the service altogether, with at least 30 days' notice. If you've paid in advance for a period we don't provide, we'll refund you for that period.

13. Changes to these terms

We may update these terms, for example to reflect new features or changes in the law. If a change is material, we'll ask you to accept the new version when you next sign in. If you don't agree to a change, you can close your account.

14. General

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you're a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.

No one other than you and us has any right to enforce these terms. If any part of these terms is found to be unenforceable, the rest still applies.
